Terms of Service

The terms under which FactoryPass China services are ordered and delivered. Plain language where the law allows it.

1. Who you are contracting with

FactoryPass China is a trading name operated by Beijing Blue Light & Shadow Culture Communication Co., Ltd. (北京蓝色光影文化传播有限公司). “We”, “us” and “FactoryPass China” refer to that entity. “You” means the customer ordering services.

2. What we provide

We provide business verification, document review, supplier risk screening and fieldwork coordination services, as described on the service pages at the time of order. Service descriptions, inclusions and exclusions on this website form part of these terms. We do not provide legal advice, financial advice, certification, formal factory audits, product inspection, or laboratory testing, and nothing we deliver constitutes a guarantee of any supplier’s performance, quality, delivery, compliance or conduct.

3. Ordering and fees

  • All engagements are confirmed by email with a written scope, fee and expected turnaround before payment.
  • Published prices are starting prices; the confirmed written fee governs.
  • Work begins after payment is received, unless agreed otherwise in writing.
  • Fees are buyer-paid only. We accept no commissions or payments from suppliers under review, and any supplier attempt to pay us is reported to you.

4. Your responsibilities

  • Provide accurate supplier details and only information you are authorized to share.
  • Respond to reasonable requests for clarification during the engagement.
  • Make your own commercial decisions. Our findings inform decisions; they do not make them.

5. Live visits and supplier access

Live factory visits depend on supplier consent. Access, filming areas, recording permission and personnel availability remain subject to the supplier’s agreement and to site safety and confidentiality rules. Where a supplier declines or restricts access, we report the refusal; the refusal is not a service failure. Scheduling rules and surcharges published on the pricing page apply, including: remote-area travel (+US$100–200 or custom quote); 24–48 hour rush scheduling (+50%); multiple sites in one engagement (Custom quote); extended live session (Custom quote); supplier-caused same-day cancellation (Missed-visit fee); buyer rescheduling (Subject to notice period).

6. Turnaround

Stated turnarounds are business-day estimates from receipt of complete information and payment. Supplier delays, incomplete documents, Chinese public holidays and events outside our control extend them; we communicate delays as they arise.

7. Deliverables and intellectual property

Reports, notes and footage we deliver are for your business use, including sharing with your partners, advisers and financiers. They may not be resold, published or presented as a certification. Reports describe evidence as at their stated review date; we owe no duty to update a delivered report.

8. Corrections

Where a factual error in a report is demonstrated to us — by you or by the supplier reviewed — we will correct the report and reissue it to you at no charge. We do not amend accurate findings on request.

9. Cancellation and rescheduling

  • Report engagements cancelled before work begins are refunded in full; once work has begun, fees are earned in proportion to work performed.
  • Live visits rescheduled by you are subject to the published notice rules; supplier-caused same-day cancellations incur the published missed-visit fee rather than the full fee.
  • Where we cannot deliver at all — for example, no field representative can reach the site — you are not charged for the undeliverable component.

10. Limitation of liability

Our services report visible evidence from stated sources at a point in time. To the maximum extent permitted by applicable law: we are not liable for supplier conduct, for losses arising from your commercial decisions, or for indirect or consequential losses; and our aggregate liability for any engagement is limited to the fees paid for that engagement. Nothing in these terms excludes liability that cannot lawfully be excluded.

11. Confidentiality

We keep your engagement, your documents and your reports confidential, disclosing them only as needed to deliver the service or as required by law. We ask the same of you with respect to our methods and pricing confirmations.

12. General

These terms, together with the written scope confirmation for your engagement, are the entire agreement. If any provision is unenforceable, the remainder stands. Governing law and forum will be stated in the written scope confirmation issued by the operating entity.
